For the good of the association, it’s imperative that directors, new and existing, completely understand their fiduciary responsibility and the extent of their authority. It’s unfortunate, but for close to two decades, we’ve been called to review the actions of directors, deal with conflicts of interest and, where necessary and appropriate, initiate the removal of individuals from the Board of Directors.
